- Proprietary information
In performing the activities as an Intern/trainee/customer/student at Valiant Telos and VALIANT TELOS America Inc( Collectively called VALIANT TELOS), you may get access to proprietary and confidential information of VALIANT TELOS and/or its clients and, in order to permit VALIANT TELOS to provide you with an training/internship and the related access to such information, you agree that:
(a) Any information delivered or disclosed to you by VALIANT TELOS, its clients, or others acting on its or their behalf, incidental to or in connection with performance of your training, whether such delivery or disclosure occurred before or after execution of this Agreement (collectively, the “Confidential Information”), shall be and remain the property of VALIANT TELOS or its client. Such Confidential Information includes without limitation any information concerning VALIANT TELOS’s or its client’s business, business plans, operations, products, methods, procedures, customers, services, equipment, systems, pricing and facilities, regardless of the form or method of communication.
(b) Confidential Information shall be used by you only to the extent necessary for performance of your duties for VALIANT TELOS. You shall not disclose the Confidential Information to any third party and shall use your best efforts to prevent any duplication or disclosure. Upon completion of performance or termination of your internship, you shall return to VALIANT TELOS or its authorized representative all Confidential Information then in your possession.
(c) The restrictions set forth above shall survive the term of your training and shall apply until such time as you can establish that such information is known to the general public and that such knowledge is not the result of your acts or omissions
